These Terms of Service ("Terms") form a legally binding agreement between you and SpliceHub, a sole tradership based in the United Kingdom ("we", "us", "our"). By creating an account or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the service.

1. The Service

SpliceHub is a UK-based membership platform that connects subscribing Individuals and Businesses to enable member-exclusive discounts and benefits. Subscribed members may: search for supplier Businesses that offer member discounts; generate digital membership proof (ID) and short-lived promo codes; file service-related complaints against Businesses.

Access to the full service (beyond basic search) requires an active paid membership. We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice.

2. Eligibility

You must be at least 18 years of age and resident or legally trading in the United Kingdom to register an account.

Businesses must be lawfully constituted and operating in the UK. By registering a Business account, you warrant that you are authorised to bind that business to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any suspected unauthorised access at info@splicehub.co.uk.

You must provide accurate and complete information when registering. You must not impersonate another person or entity, or register using false information.

One account may be associated with one Individual profile, for use in a personal consumer capacity, and one or more Business profiles, where the account holder is the owner or authorised representative of the relevant business or businesses.

Use of a Business profile is strictly for procuring goods and services on behalf of that business and must not be used for personal consumer purposes.

4. Individual Membership Plans

Trial Membership: a 3-month membership paid as a single upfront lump sum, on which occasional discounts or offers might apply. This plan is available once per account lifetime (once per user ID) and is non-refundable once activated.

Monthly Subscription: a recurring monthly subscription processed via Stripe, on which occasional discounts or offers might apply. It renews automatically until cancelled.

Annual Plan: a recurring yearly subscription processed via Stripe, on which occasional discounts or offers might apply. Non-refundable. It renews automatically until cancelled.

All prices are displayed on the pricing page and include VAT where applicable. Access is granted immediately upon successful payment confirmation from Stripe.

5. Business Membership

Businesses apply for an annual membership and are subject to manual approval by our team.

Businesses decide and settle their membership amount at the end of the yearly subscription.

Payment is made by bank transfer only. Access is granted only after our team has confirmed receipt of the transfer.

Business membership is annual and non-refundable once access has been granted.

6. No Refunds

All payments made to SpliceHub are strictly non-refundable. This applies to all membership plans for both Individuals and Businesses.

For monthly or yearly Individual subscriptions, membership ends at the time of cancellation with no refund. No partial refunds are issued for unused portions of a membership period.

Nothing in this clause affects your statutory rights under UK consumer protection law where those rights cannot be excluded.

7. Cancellation & Cooldown Policy (Individuals)

You may cancel your subscription at any time. Cancellation takes effect immediately.

Following user initiated cancellation, a mandatory 1-year re-subscription cooldown applies. During this cooldown you may not purchase any new membership plan (Trial, Monthly, or Annual).

During any active cooldown, account deletion is also prohibited. This is to preserve a full record of membership history and prevent evasion of restrictions by creating new accounts.

8. Disciplinary Cooldowns (Businesses)

A Business that accumulates three (3) accepted complaints within a rolling 1-month period is automatically placed into a mandatory 1-year disciplinary cooldown. During this period the Business will: be removed from all search results; be unable to apply for a new membership; have its profile locked from edits.

Our administrators may also impose manual cooldowns on Individuals or Businesses for any duration, at their discretion (up to three (3) years maximum), where a breach of these Terms or abuse of the platform is identified.

During any active cooldown affecting your account (whether individual or business), you may not register new Business profiles under your account.

Account deletion is prohibited for the duration of any active cooldown. This prevents circumvention of penalties by re-registering with a clean slate.

9. Membership Proof & Promo Codes

Digital membership IDs and promo codes are personal to you and must not be transferred, sold, or shared with any third party.

Promo codes are valid for fifteen (15) minutes from generation and are bound to a specific producer Business. Using a promo code outside of its validity window or with an unintended Business will result in rejection.

Misuse of membership proof — including fraudulent presentation of an expired or another member's ID — constitutes a material breach of these Terms and may result in immediate account suspension.

10. Complaints Mechanism

The complaints system is available to paid members only and is strictly limited to complaints about membership benefits not delivered (e.g. a promised discount was refused by a Business).

Complaints about product or service quality, delivery issues, or any matter unrelated to the SpliceHub membership service are outside the scope of this mechanism and will not be accepted.

You may not edit or withdraw a complaint once submitted. Uploaded evidence images will be deleted once a resolution is reached; complaint text is retained indefinitely as a moderation record.

Complaint outcomes (accepted, in progress, or rejected) are determined solely by our administrators. Their decisions are final.

11. Prohibited Conduct

You must not: (i) provide false, misleading, or fraudulent information at registration or any other time; (ii) attempt to circumvent cooldown restrictions or account bans by registering new accounts; (iii) share, sell, or transfer membership benefits, IDs, or promo codes to third parties; (iv) submit vexatious, false, or abusive complaints; (v) attempt to reverse-engineer, scrape, or otherwise interfere with the platform; (vi) use the service for any unlawful purpose.

Breach of any of the above may result in immediate suspension or termination of your account without refund.

12. Intellectual Property

All content, software, trademarks, and other intellectual property forming part of the SpliceHub platform are owned by or licensed to us. You may not reproduce, distribute, modify, or create derivative works from any part of our platform without our prior written consent.

13. Limitation of Liability

To the fullest extent permitted by applicable UK law, SpliceHub shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to SpliceHub in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will give you at least 14 days' notice of any material changes by email to the address associated with your account. Your continued use of the service after the effective date of changes constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the service before the changes take effect.

15. Governing Law & Jurisdiction

Where you use the service solely in a business capacity (i.e. under a Business profile), you agree that these Terms and any dispute arising from them shall be governed exclusively by the laws of England and Wales, and you submit to the exclusive jurisdiction of the courts of England and Wales.

Where you use the service in a personal consumer capacity (i.e. under an Individual profile), these Terms are governed by the laws of England and Wales except where mandatory local consumer law requires otherwise: if you are resident in Scotland, Scots law will apply and any dispute may be brought before the Scottish courts; if you are resident in Northern Ireland, the laws of Northern Ireland will apply and any dispute may be brought before the courts of Northern Ireland.

Nothing in this clause limits or excludes any rights you have under applicable UK consumer protection legislation that cannot be excluded by contract.
